Terms of Service Agreement

By using this site, you are agreeing to comply with and be bound by the following Terms of Service. Please review the following terms carefully. If you do not agree to these terms, you should not use this site. The term "Sourceables" or "us" or "we" or "our" or "the Service" or "the Site" refers to Sourceables, LLC, the owner of the Web site. The term "you" refers to the user or viewer of our Web Site.

1. Acceptance of Agreement.

You agree to the terms and conditions outlined in this Terms of Use Agreement ("Agreement") with respect to our site (the "Site"). This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content, products or Services provided by or through the Site, and the subject matter of this Agreement. This Agreement may be amended at any time by us from time to time without specific notice to you. Sourceables.com (the Service) is a web site intended for the exclusive use of its members and is owned and operated by Sourceables, LLC a limited liability company located at 2 Central Avenue, Madison, NJ 07940.

All memberships will be reviewed for eligibility which is determined by the sole discretion of Sourceables, LLC. Membership(s) may be denied or canceled at any time for any reason.

You may delete or cancel your membership and all data provided to Service at any time.

We reserve the right to modify or terminate the Sourceables.com Service for any reason, without notice at any time.

We may, but have no obligation to, remove Content and accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.

We reserve the right to reclaim usernames on behalf of businesses or individuals that hold legal claim or trademark on those usernames.

3. User Conduct and Use.

3.1. You are responsible for any activity that occurs under your account.

3.2. You must not abuse, harass, threaten, impersonate or intimidate other Sourceables.com members.

3.3. You may not use the Service for any illegal or unauthorized purposes. International users agree to comply with all local laws regarding online conduct and acceptable content.

3.4. You are solely responsible for the usage of your account, your conduct, and of any data, text, information, graphics, photos, profiles, audio and video clips, links ("Content") that you submit, post, and display on the Service.

3.5. You must not create or submit unwanted email to any Sourceables.com members.

3.6. Confidentiality. You must not display, divulge, repost, upload or in any other way reveal the contents of any emails, telephone discussions, posts, text messages or any other forms of communication between yourself and a member of the Service that was provided to you in confidence.

3.7. You may not copy, modify, reproduce, retransmit or otherwise utilize content for any purpose without the express written permission of the content's owner.

3.9. You must not violate any laws in your jurisdiction (including but not limited to copyright laws). 3.10. You understand that Sourceables, LLC cannot guarantee the identity of any other users with whom you may interact in the course of using the Service. Sourceables, LLC cannot guarantee the authenticity of any data which users may provide.

3.11. You are solely responsible for the content or information you transmit or provide to the Service. you will not post on the Service, or transmit to other members any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including but not limited to, intellectual property rights, trade secrets) or is subject to an enforceable privilege (including, without limitation, attorney-client or trade secret privileged material); and, in connection with such User Content, you warrant and represent to Sourceables, LLC that you have all rights, title and interests necessary to provide such User Content to the Service, and that your provision of the User Content to the Service shall not infringe any third party's proprietary or personal rights, including but not limited to any trademark, copyright, patent, or trade secret.

3.12. You agree that the Service has no responsibility or liability for the deletion, corruption or failure to post, display, store, or forward any data or other content.

3.13. Sourceables, LLC reserves the right to monitor all activity associated with the Service, though it is not obligated to do so. Sourceables, LLC does not guarantee accuracy, integrity or quality of any data or information provided posted to the Service. Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website.

3.14. You understand and agree that use of the Service is at your sole risk and that the Service is provide on an "as is" and "as available" basis.

3.15. You understand that Sourceables, LLC cannot guarantee the identity of any other users with whom you may interact in the course of using the Service. Sourceables, LLC cannot guarantee the authenticity of any data which users may provide.

3.16. We reserve the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Site, or any portion of the Site, for any reason; (2) to modify or change the Site, or any portion of the Site, and any applicable policies or terms; and (3) to interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such matters or any part of the Site is strictly prohibited. The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials. The rights of the Service are protected by law. Neither the Service nor Sourceables, LLC can claim intellectual property rights over the material you provide to the Service and any data to which you own the copyright that is provided to the Service remains yours. Sourceables, LLC undertakes to obey all relevant copyright laws. Any claims of copyright infringement received will be reviewed and content deemed to have been posted or distributed in violation of any such laws will be removed.

You may not duplicate copy or reuse any portion of the HTML, PHP, CSS, JavaScript, or visual design elements or concepts without express written permission of Sourceables, LLC.

"Sourceables.com" and others are our Service marks or registered Service marks or trademarks. Other product and company names mentioned on the Site may be trademarks of their respective owners.

5. Changes and Discontinuances.

We may change or discontinue any part of this Service, without notice, at any time, at our sole discretion.

6. Limited License; Permitted Uses.

You are granted a non-exclusive, non-transferable, revocable license (a) to access and use the Site strictly in accordance with this Agreement; (b) to use the Site solely for internal, personal, non-commercial purposes; and (c) to print out discrete information from the Site solely for internal, personal, non-commercial purposes and provided that you maintain all copyright and other policies contained therein. You agree to defend, indemnify, and hold harmless Sourceables, LLC, its employees, officers, directors, affiliates, contractors, attorneys, and agents ("Indemnitees") against all claims, demands, expenses, liabilities, losses, costs, and damages, including reasonable attorney's fees, that the Indemnitees may incur (i) in connection with your use of the Site or any hyperlinked web site (ii) resulting from your violation of any of your representations, warranties or obligations under this Agreement; (iii) content you submit, post, transmit, or make available through the Service, (iv) your use of the Service, (iv) your connection to the Service, (v) your violation of the Service Agreement or (vi) your violation of any rights of another including but not limited to another's copyright, patent, trademark, trade secrets, or other intellectual property right.

14. Nontransferable.

Your right to use the Site is not transferable or assignable. Any password or right given to you to obtain information or documents is not transferable or assignable.

15. Disclaimer.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. The above disclaimer also applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

16. Limitation of Liability.

We and any Affiliated Party shall not be liable for any loss, injury, claim, liability, or damage of any kind resulting in any way from (a) any errors in or omissions from the Site or any services or products obtainable therefrom, (b) the unavailability or interruption of the Site or any features thereof, (c) your use of the Site, (d) the content contained on the Site, or (e) any delay or failure in performance beyond the control of a Covered Party.

17. Use of Information.

We reserve the right, and you authorize us, to the use and assignment of all information regarding Site uses by you and all information provided by you in any manner consistent with our Privacy Policy. All remarks, suggestions, ideas, graphics, or other information communicated by you to us (collectively, a "Submission") will forever be our property. We will not be required to treat any Submission as confidential, and will not be liable for any ideas (including without limitation, product, Service or advertising ideas) and will not incur any liability as a result of any similarities that may appear in our future products, Services or operations. Without limitation, we will have exclusive ownership of all present and future existing rights to the Submission of every kind and nature everywhere. We will be entitled to use the Submission for any commercial or other purpose whatsoever, without compensation to you or any other person sending the Submission. You acknowledge that you are responsible for whatever material you submit, and you, not us, have full responsibility for the message, including its legality, reliability, appropriateness, originality, and copyright.

We may allow access to or advertise certain third-party product or Service providers ("Merchants") from which you may purchase certain goods or Services. You understand that we do not operate or control the products or Services offered by Merchants. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer Service. We are not a party to the transactions entered into between you and Merchants. You agree that use of or purchase from such Merchants is AT YOUR SOLE RISK AND IS WITHOUT WARRANTIES OF ANY KIND BY US, EXPRESSED, IMPLIED OR OTHERWISE INCLUDING WARRANTIES OF TITLE, FITNESS FOR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES ARE WE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO OUR SITE.

If you are located outside the United States, by subscribing to any Sourceables.com Service you consent to your data being sent to the United States and transmitted, stored and utilized pursuant to the provisions of United States law.

21. Links to other Web Sites.

The Site contains links to other Web sites. We are not responsible for the content, accuracy or opinions expressed in such Web sites, and such Web sites are not investigated, monitored or checked for accuracy or completeness by us. Inclusion of any linked Web site on our Site does not imply approval or endorsement of the linked Web site by us. If you decide to leave our Site and access these third-party sites, you do so at your own risk.

22. Legal Compliance.

You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Site and the Content and Materials provided therein.

23. User Content Posted on the Site.

You are solely responsible for the photos, profiles (including your name, image, and likeness), messages, notes, text, information, music, video, advertisements, listings, and other content that you upload, publish or display (hereinafter, "post") on or through the Service or the Site, or transmit to or share with other users (collectively the "User Content"). You may not post, transmit, or share User Content on the Site or Service that you did not create or that you do not have permission to post. You are solely responsible at your sole cost and expense for creating backup copies and replacing any User Content you post or store on the Site or provide to us.

When you post User Content to the Site, you authorize and direct us to make such copies thereof as we deem necessary in order to facilitate the posting and storage of the User Content on the Site. 24. User Disputes.

You are solely responsible for your interactions with other Sourceables.com users. We reserve the right, but have no obligation, to monitor disputes between you and other users.

25. Miscellaneous.

25.1. This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey (without regard to conflict of law principles). Any cause of action by you with respect to the Site (and/or any information, Documents, products or Services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. This Agreement and all incorporated agreements and your information may be automatically assigned by us in our sole discretion to a third party in the event of an acquisition, sale or merger. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. Our rights under this Agreement shall survive any termination of this Agreement.

25.2. Sourceables reserves the right to update, change or modify these Terms of Service. Any new features that augment or enhance the current Service shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Sourceables, LLC is not liable to you or any third party for any suspension or discontinuance of the Service. Your use of the Service indicates that you accept and are bound by this Agreement.

25.3. You understand and agree that use of the Service is at your sole risk and that the Service is provide on an "as is" and "as available" basis.

25.4. Sourceables.com does not warrant that (i) the Service will meet your specific requirements; (ii) the Service will be uninterrupted, timely, secure, or error-free; (iii) the results that may be obtained from the use of the Service will be accurate or reliable; (iv) the quality of any products, Services, information, or other material obtained by you through this Service will meet your expectations; (v) that any requests submitted by any Sourceables.com members will be posted and/or be posted in a timely manner; (vi) that all responses to any requests posted anonymously will be timely and fully forwarded and, (vii) any errors in the Service will be corrected.

25.5. Due to the inherent hazards of the Internet there may be delays, omissions, or inaccuracies in obtaining or accessing such information and the Service. Sourceables, LLC disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, operability or availability of information provide to or accessed through the Service.

25.6. Sourceables, LLC owns and retains, to the fullest extent of the law, all rights in the Service including but not limited to its copyrighted material, trademarks, patented processes, trade secrets, and other proprietary information. You will not distribute, transmit, transfer, offer, copy, publish, display, modify, or sell, assign, or sublicense any portion of the Service, its code, or any proprietary information on the Service, or any intellectual property or other proprietary right in any of the foregoing. You will not reverse engineer, reverse assemble, or otherwise attempt to discover any source code or proprietary information, or obtain unauthorized access to the Service. The foregoing does not apply to user content.

26.7. The failure of Sourceables, LLC to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by Sourceables, LLC.

26.8. No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement, and you do not have any authority of any kind to bind Sourceables.com or Sourceables, LLC in any respect whatsoever.

26.9. These Terms of Service, as presently in effect, and as modified from time to time, constitute the entire agreement between the parties with respect to the subject matter hereof and govern your use of the Service. It supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter (including, but not limited to, prior versions of the Terms of Service).

26.10. You understand and agree that this Agreement and any notices given pursuant to this Agreement are enforceable in electronic format.

26.11. This Agreement is in electronic form. There may be other information regarding the Service that the law requires us to send you. You consent to Sourceables, LLC sending you this information in electronic form. You have the right to withdraw this consent by notice to us, but if you do, you must stop using this Service. We may provide required information to you by email at the your registered address. Notices provided to you via email will be deemed given and received on the transmission date.

26.12. Violation of any of these agreements will result in the termination of your Sourceables.com account. You understand and agree that neither the Service nor Sourceables, LLC can be responsible for content posted on Sourceables.com and you nonetheless may be exposed to such materials and that you use the Service at your own risk.
